1. Acceptance of Terms

By accessing or using the Hero EMR website at heroemr.com (the "Site") and our electronic medical records platform (the "Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the Site or Service.

We reserve the right to update these Terms at any time. Changes become effective when posted on this page. Your continued use of the Site or Service after any changes constitutes acceptance of the revised Terms.

2. Description of Service

Hero EMR provides a cloud-based electronic medical records (EMR) platform designed for healthcare providers. The Service includes clinical documentation tools, AI-powered workflow automation, billing and practice management features, and related functionality as described on the Site.

We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. Eligibility

The Service is intended for use by licensed healthcare professionals and authorized staff within healthcare organizations. By using the Service, you represent that you are at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent.

4. Account Registration & Security

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your login credentials confidential and not share them with unauthorized individuals
  • Notify us immediately of any unauthorized use of your account

You are responsible for all activity that occurs under your account. We are not liable for any loss or damage arising from your failure to safeguard your credentials.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to transmit malware, viruses, or other harmful code
  • Scrape, harvest, or collect information from the Service through automated means without our consent
  • Sublicense, resell, or redistribute the Service without our written permission

6. Protected Health Information & HIPAA

If you are a covered entity or business associate under HIPAA, your use of the Service to store, process, or transmit Protected Health Information (PHI) is governed by the Business Associate Agreement (BAA) executed between you and Hero EMR, in addition to these Terms.

You are responsible for ensuring that your use of the Service complies with all applicable healthcare regulations, including HIPAA and HITECH.

7. Intellectual Property

All content, features, functionality, and technology of the Site and Service — including but not limited to text, graphics, logos, icons, software, and design — are the exclusive property of Hero EMR or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Site or Service, nor may you reverse engineer or attempt to extract the source code, unless expressly permitted by law or with our written consent.

8. User Content

You retain ownership of any data, documents, or content you upload or enter into the Service ("User Content"). By using the Service, you grant us a limited license to process and store your User Content solely for the purpose of providing and improving the Service.

You are solely responsible for the accuracy, legality, and appropriateness of your User Content.

9. Third-Party Services

The Service may integrate with or contain links to third-party websites, services, or applications. We do not control and are not responsible for the content, privacy practices, or availability of third-party services. Your use of third-party services is at your own risk and subject to their respective terms.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure. The Service is a tool to assist healthcare providers and does not constitute medical advice, diagnosis, or treatment. Clinical decisions remain the sole responsibility of the treating provider.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HERO EMR AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Hero EMR and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including Sections 7, 10, 11, 12, and 14) will survive.

14. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and any applicable BAA, constitute the entire agreement between you and Hero EMR regarding the use of the Site and Service, and supersede all prior agreements and understandings.
